Welcome to YOYO! These Terms of Service (“Terms”) govern your use of the YOYO mobile application (“App”) operated by YOYO (“we”, “our”, or “us”).

By creating an account or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the App.

1. Service Description

YOYO is an activity-based social platform that allows users to:

  • Create and join social activities and events
  • Connect with other users through messaging and social features
  • Share photos and content related to activities
  • Manage activity logistics including scheduling and cost splitting

2. Account Registration and Security

2.1 Eligibility

You must be at least 13 years old to create an account. By registering, you represent that you meet this age requirement.

2.2 Account Information

You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access to your account

2.3 Account Responsibility

You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from unauthorized use of your account.

3. User Conduct

You agree not to:

  • Violate any applicable laws or regulations
  • Post false, misleading, or fraudulent content
  • Harass, bully, threaten, or intimidate other users
  • Upload content that is obscene, offensive, or violates the rights of others
  • Impersonate any person or entity
  • Use the App for any commercial solicitation without our permission
  • Attempt to gain unauthorized access to other accounts or our systems
  • Use automated means (bots, scrapers) to access the App
  • Distribute spam, malware, or other harmful content
  • Create activities intended to defraud or harm participants
  • Collect other users’ personal information without consent

4. User-Generated Content

You retain ownership of content you post on the App. By posting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content in connection with operating the App.

4.2 Content Responsibility

You are solely responsible for the content you post. We do not endorse user content and are not liable for any content posted by users.

4.3 Content Removal

We reserve the right to remove any content that violates these Terms or is otherwise objectionable, at our sole discretion and without prior notice.

5. Intellectual Property

5.1 Our Property

The App, including its design, features, and content created by us, is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute our intellectual property without permission.

5.2 Feedback

Any feedback, suggestions, or ideas you provide about the App may be used by us without obligation to you.

6. In-App Purchases

6.1 Purchases

The App may offer in-app purchases. All purchases are processed through the Apple App Store or Google Play Store and are subject to their respective terms and conditions.

6.2 Refunds

Refund requests for in-app purchases should be directed to the Apple App Store or Google Play Store, as applicable.

6.3 Price Changes

We reserve the right to change pricing for in-app purchases at any time.

8. Disclaimers

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 Activity Disclaimer

We are a platform for connecting users. We do not organize, supervise, or control activities created by users. We are not responsible for the conduct of any user or the outcome of any activity.

8.3 No Guarantee

We do not guarantee that the App will be uninterrupted, secure, or error-free.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING FROM YOUR USE OF THE APP.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless YOYO and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of the App
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Content you post on the App

11. Account Termination

11.1 By You

You may delete your account at any time through the App settings. Upon deletion, your data will be removed in accordance with our Privacy Policy.

11.2 By Us

We may suspend or terminate your account at any time, with or without notice, for:

  • Violation of these Terms
  • Conduct harmful to other users or the App
  • Prolonged inactivity
  • Any reason at our sole discretion

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of Australia. Any disputes arising from these Terms shall be resolved through:

  • First, good faith negotiation between the parties
  • If unresolved, mediation conducted in Australia
  • If mediation fails, binding arbitration or courts of competent jurisdiction in Australia

13. Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes by:

  • Posting updated Terms in the App
  • Updating the “Last Updated” date
  • Sending a notification through the App

Your continued use of the App after changes constitutes acceptance of the updated Terms.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and YOYO regarding the App.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in effect.

14.3 Waiver

Our failure to enforce any provision does not constitute a waiver of that provision.

14.4 Assignment

You may not assign your rights under these Terms without our consent. We may assign our rights at any time.
